FlashBooks Terms of Service & Client Service Agreement (Canada)

Company: Flashbooks Inc. ("FlashBooks", "we", "us", "our")
These Terms are a legally binding agreement between you (the "Client", "you") and FlashBooks for access to and use of the Services.
1. Who We Are
FlashBooks provides professional bookkeeping solutions designed to streamline, organize, and maintain business financial records.
2. Eligibility & Authority
You must be at least 18 years old and able to form a binding agreement. If you use the Services for a business, you confirm you have authority to bind that business.
3. Scope of Services
3.1 What we do
Bookkeeping services as described in your selected plan (see Section 9), including reconciliations, reporting, and year-end reporting package preparation.
3.2 What we don't do
Unless included in your plan or agreed in writing: legal advice, audit services, valuation, investment advice, or acting as your CRA legal representative (unless separately authorized).
4. Client Responsibilities (Customer Expectations – Required)
To keep your books current and accurate, you agree to:
- Provide accurate business information during onboarding (legal name, fiscal year-end, CRA program accounts if applicable, etc.).
- Upload required documents on time each month, including bank statements and credit card statements in CSV format; if you send e-transfers, provide your e-transfer listing; and provide invoices/receipts for one-off purchases (e.g., vehicle/equipment).
- Link your banking account to PLAID.
- Respond to clarification questions within a reasonable time (recommended: within 5 business days).
- Maintain access to your banking/credit accounts and ensure statements are available.
- Ensure you have permission to share any third-party personal or business data you upload.
5. Service Standards & Timing
Our work relies on the completeness and timeliness of documents you provide.
If documents are late or incomplete, reporting timelines and accuracy may be impacted.
You will receive notices/updates through email and/or your user dashboard where available.
For bookkeeping services, our team will return your report in 48 hours, once your documents have been received and verified by the accounting team.
6. Account Reviews (When We Review Your File)
FlashBooks performs periodic account reviews to verify accuracy, identify missing items, and flag risks/opportunities.
Default review cadence (unless your plan or complexity requires otherwise):
- Monthly Plan ($199/mo): Bookkeeping Essentials
- Monthly Plan ($299/mo): Bookkeeping + Tax Filing
- All Inclusive Plan ($499/mo): Full Service Accounting
We may also perform ad-hoc reviews when you request changes, add accounts, or major transactions occur.
7. Recovery / Reassessment Savings Fee (25% of Amount Recovered)
7.1 Identification & Notification
If, during an account review or cleanup, FlashBooks identifies money you overpaid or may be entitled to recover (e.g., missed credits, reassessments, recoverable filings, or correctable overpayments), we will:
- Notify you in writing of the opportunity and what documentation/authorization is needed; and
- Proceed only with your written approval.
7.2 Fee
If funds are successfully recovered, you agree to pay FlashBooks a success fee equal to 25% of the amount recovered (net of any direct third-party government processing fees, if applicable).
7.3 Timing
The success fee is payable when recovery is confirmed (e.g., CRA notice/reassessment confirming the amount, or funds received — whichever occurs first).
7.4 No Guarantee
Recovery outcomes depend on CRA/third parties and your documentation; FlashBooks does not guarantee recovery.
8. Fees, Billing, Renewals, and Cancellations
Plan fees are published on our pricing page and may change with notice.
Monthly subscriptions renew monthly unless cancelled.
If payment fails, we may pause services until your account is brought current.
Unless required by law or explicitly stated in writing, fees are non-refundable once services for a period have been delivered.

A) Monthly Plan — $199/month (Bookkeeping Essentials)

B) Monthly Plan — $299/month (Bookkeeping + Tax Filing)

- GST/HST Returns Filed
- Annual Tax Return Filed
- Unlimited Revisions
- Up to 12 Months of Back Tax Filing
- Payroll for 1 year included; after that time you can upgrade or pay per use
Customer Expectations
Provide statements and required documents for the year (monthly uploads strongly recommended).
C) All Inclusive Plan — $499/month (Full Service Accounting)

- Everything in Bookkeeping + Tax Filing
- Address of service
- Communicate with CRA/IRS (no more phone calls)
- Free Legal Consultation
- Payroll
- Priority Support
- Unlimited Back Tax Filing
- Personal Taxes
Customer Expectations
Provide complete monthly statements and respond quickly to tax/GST/HST questions and document requests.
D) All-in-One (Catch-Up + Ongoing) — $500 + $199/month
Deliverables
- Catch-up bookkeeping for the prior year
- Ongoing monthly bookkeeping (everything in Plan A)
Customer Expectations
Provide all prior-year records and statements for catch-up, plus monthly uploads of bank & credit card statements going forward.
Plan limits / add-ons: If your business has more than included accounts or volume, we may quote an add-on or custom plan in writing.
10. Confidentiality & Data
You agree we may access, store, and process your information to deliver the Services. We will treat your information as confidential and use it only for service delivery, support, compliance, and improving our services, consistent with our privacy practices.
11. Record Retention & CRA Compliance
11.1 Client Record Retention Obligation
Clients must retain financial records and supporting documentation for a minimum of six (6) years from the end of the last tax year to which they relate, in accordance with CRA requirements.
11.2 Types of Records Covered
Records include bank statements, invoices, payroll records, GST/HST filings, contracts, logs, and electronic accounting data.
11.3 Client Responsibility
The Client remains responsible for maintaining complete and accurate records, even when documents are uploaded to FlashBooks.
11.4 FlashBooks Record Retention
FlashBooks may retain working papers and client documents for a minimum of six (6) years for compliance and professional purposes.
11.5 Electronic Storage & Access
Clients are encouraged to maintain independent backups. FlashBooks may archive or remove data after the retention period.
11.6 CRA Reviews & Audits
Audit assistance may be provided within the Client's plan or as a separate engagement. Clients remain responsible for responding to CRA requests.
12. Intellectual Property
FlashBooks retains rights to its systems, templates, workflows, and branding. Clients retain ownership of underlying business records.
13. Prohibited Use
You may not misuse the Services, attempt unauthorized access, introduce malware, scrape content, or violate laws.
14. Disclaimers
We provide Services professionally, but final responsibility for filings and records remains with you. Bookkeeping is not a substitute for legal or tax advice unless expressly contracted.
15. Limitation of Liability
15.1 No Indirect or Consequential Damages
To the fullest extent permitted by applicable law, FlashBooks shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, business interruption, reputational harm, or anticipated savings, even if advised of the possibility of such damages.
15.2 Cap on Direct Damages
FlashBooks' total cumulative liability for any claim, loss, or damage arising out of or relating to the Services, whether in contract, tort (including negligence), or otherwise, shall be limited to the total fees actually paid by the Client to FlashBooks during the three (3) months immediately preceding the event giving rise to the claim.
15.3 Client Responsibility for Information
FlashBooks is not responsible for errors, penalties, reassessments, interest, or losses arising from:
- Incomplete, inaccurate, or late information provided by the Client
- Failure to provide requested documentation
- Failure to respond to CRA correspondence
- Misclassification of transactions not disclosed to FlashBooks
- Undisclosed income or liabilities
The Client remains solely responsible for the accuracy and completeness of all financial information provided.
15.4 Government & Third-Party Actions
FlashBooks does not control decisions made by the Canada Revenue Agency (CRA), financial institutions, payment processors, or other third parties. FlashBooks is not liable for outcomes, delays, reassessments, penalties, or interest imposed by such third parties.
15.5 No Guarantee of Tax Outcome
FlashBooks provides bookkeeping and compliance services in a professional manner; however, we do not guarantee specific tax savings, audit outcomes, reassessment results, or refund amounts.
15.6 Force Majeure
FlashBooks shall not be liable for failure or delay in performance due to events beyond reasonable control, including system outages, government portal failures, natural disasters, cyber incidents, or regulatory changes.
15.7 Maximum Legal Extent
Some jurisdictions may not allow certain liability limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable Canadian law.
16. Termination
We may suspend services for non-payment or violations. Clients may cancel per plan terms. Amounts owed remain payable.
17. Changes to These Terms
We may update these Terms from time to time. Continued use constitutes acceptance.
18. Governing Law (Canada)
These Terms are governed by the laws of Canada and applicable provincial law.
